Terms of Service

Who these terms bind
These terms are an agreement between NewWay Digital, of Chicago, Illinois ("we", "us"), and the studio that holds a PracticeBasis account ("you", "the studio"). They also apply to anyone who uses the service through that studio's account — owners, administrators, instructors, and staff — and to students who use a studio's PracticeBasis booking page.
By using PracticeBasis you agree to these terms. If you're agreeing on behalf of a studio, you're confirming you're authorised to do so.
What the service is
PracticeBasis is a studio operations service. It helps a studio handle instructor call-outs, find and confirm substitute teachers, communicate with staff by text message, take class bookings, and see a daily summary of what was handled and what needs a decision.
PracticeBasis is designed to work alongside a studio's existing scheduling system, not to replace it. Where a studio connects Mindbody, Mindbody remains the studio's system of record.
Accounts and access
You're responsible for your account credentials and for the activity that happens under them. Tell us promptly if you think an account has been compromised. We may suspend access where we reasonably believe it's necessary to protect the service or other users.
Your responsibilities
- Consent for the people you add. Before entering someone's mobile number, you confirm you have their permission to contact them by text about studio operations, and that you have told them what those messages will be about. This one matters: the studio, not PracticeBasis, holds that relationship.
- Accurate information. The service acts on what you put into it — who is qualified to teach what, whose number is whose, what your policies are. Keep it current.
- Your own legal obligations. Employment, pay, classification, and student agreements are yours. PracticeBasis records what happened; it does not make you compliant.
- Review before you rely. The service automates routine steps and escalates exceptions to you. It doesn't remove your judgment, and you remain responsible for staffing your classes.
Messaging terms
These terms apply to everyone who receives text messages from a studio through PracticeBasis.
What the messages are
PracticeBasis sends operational text messages on behalf of your studio. For instructors and staff these include requests to cover a class, confirmations, schedule changes, and reminders. For students, where a studio enables it, these include booking confirmations and class updates. We do not send marketing or promotional messages through this service.
Consent
You receive these messages because your studio provided your number and confirmed you agreed to be contacted about studio operations. Consent is not a condition of purchasing anything.
Frequency and cost
Message frequency varies with your studio's activity. Most instructors receive messages only when a class needs covering. Message and data rates may apply and are between you and your mobile carrier.
Stopping messages and getting help
Reply STOP to any message to stop receiving messages from that studio. You'll get one confirmation and then nothing further. Reply HELP for help, or write to contact@workanewway.com.
Stopping messages stops the texts only. It does not remove you from your studio's schedule and does not tell your studio you're unavailable — tell your studio directly.
Delivery
Carriers are not liable for delayed or undelivered messages. Message delivery depends on your carrier and your device, and we can't guarantee either.
The Mindbody connection
Where you connect a Mindbody account, you authorise us to read your schedule, class types, locations, and staff records, and to write the substitute instructor on a class when a substitution is confirmed. That substitution is the only change we make in Mindbody.
Your agreement with Mindbody continues to govern your Mindbody account, and you're responsible for keeping it in good standing and for having the right to connect it. We're not responsible for Mindbody's availability, its data, or changes it makes to its platform, and an interruption there may interrupt parts of PracticeBasis.

Acceptable use
Don't use PracticeBasis to send messages to people who haven't agreed to receive them, to send marketing or unlawful content, to impersonate anyone, to attempt to reach another studio's data, to probe or interfere with the service, or to break the law. We may suspend or end access for any of these.
Early access, changes, and availability
PracticeBasis is in early access. Features may change, and some described on our website may be limited, in development, or dependent on approvals outside our control — including carrier registration for text messaging and platform approvals for integrations. We'll be straight with you about what is working before you commit to anything.
We aim to keep the service available and will give reasonable notice of planned downtime where we can, but we don't promise uninterrupted service.
Fees, if any, are set out in a separate written agreement between us. If we change these terms we'll update the date above and, for significant changes, tell studios directly.
Your data
Your studio's information stays yours. We process it to run the service and as described in our Privacy Policy. You can ask for an export of your studio's records at any time while your account is active. If you leave, your schedule, students, and history remain in your own scheduling system, and we delete or anonymise what we hold as described in the Privacy Policy.
Disclaimers
PracticeBasis is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted or error free, that every message will be delivered, or that a substitute will always be found. Staffing your classes remains your responsibility.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business, arising out of or relating to the service. Our total liability arising out of or relating to these terms will not exceed the greater of the amount you paid us for the service in the twelve months before the claim, or one hundred United States dollars.
Some jurisdictions don't allow certain limitations, in which case the limitations above apply to the extent permitted.
Ending the service
You may stop using PracticeBasis and close your account at any time. We may end or suspend access if you materially breach these terms, if required by law, or if we discontinue the service, in which case we'll give you reasonable notice and a chance to export your records.
Governing law
These terms are governed by the laws of the State of Illinois, United States, without regard to its conflict of laws rules. The state and federal courts located in Cook County, Illinois will have exclusive jurisdiction, and both parties consent to that jurisdiction.
